Indemnity

User agrees to indemnify and hold harmless IPD and any of its officers, directors, members, agents, contractors, employees, authorized representatives, and/or subsidiaries and to provide a legal defense (with counsel selected by IPD) to IPD  and any of its officers, directors, members, agents, contractors, employees, authorized representatives, and/or subsidiaries from or in connection with any claim, demand, lawsuit, proceeding, losses and/or judgments made, asserted, or by any third-party, arising from User’s violation of these Terms of Use, user's violation of any law, rule or regulation, or the rights of any third-party.

Governing Law and Venue

The terms and conditions of use of the IPD Site shall be governed by and construed in accordance with the laws of California without giving effect to any principles of conflicts of law. Users of the IPD Site hereto agree that any suit, action or proceeding with respect to this Agreement may only be brought in or entered by, as the case may be, in (a) the courts of the State of California, sitting in Ventura County, or (b) the United States District Court for the Central District of California, and the user hereby irrevocably consents to such personal jurisdiction and waives all objections to this venue.
